Venture Fund Representation

The attorneys at Montgomery & Hansen collectively have decades of experience representing venture capital funds, angel investors, and angel groups. We assist new funds with their formations, including structuring and documenting the terms of the fund, and advising the fund on a variety of securities and other regulatory matters. We also represent venture and other investment funds in private equity financing transactions. Whether the investment is a simple bridge financing that involves only one investor, or a complex mezzanine financing involving a multitude of investors, we have the experience and capacity required to complete the transaction on a timely, professional, and cost-effective basis.

In addition, M&H represents a variety of individuals and investment funds in connection with purchases and sales of securities in the expanding secondary market.  These transactions include purchases and sales of private company stock, venture fund limited partnership interests and selected portions of or entire venture fund portfolios, including the formation of special purpose investment vehicles for more complex transactions.
