Since the founding of the firm in July 2003, the attorneys at M&H have completed over 250 equity and debt financings worth over $500 million.
In many financing matters, we represent the company. This often begins with introducing the company to an angel investor, venture capitalist or strategic investor that would be a good fit for the company. It also typically involves helping the company negotiate the term sheet for the financing, including valuation, liquidation preference, anti-dilution protection and other important matters. After the company and the investor have agreed on terms, we prepare the necessary documentation to conclude the transaction.
M&H also represents a number of prominent angel investors and venture capital funds in financings. In some cases, we have been with the fund since its inception, helping the fund organizers structure the fund and then on specific investments. In others, we have been engaged in individual transactions to represent the fund in making the investment (for more information, please see the "Venture Fund Representation" page of our website).
