Montgomery & Hansen was organized specifically to serve the transactional needs of emerging growth companies and investors. We work with the best entrepreneurs and investors to build world-class companies.

A substantial portion of our practice is devoted to helping entrepreneurs organize legal entities to protect their intellectual property, limit their liability exposure, and attract capital. After the appropriate entity is formed, we assist the entity in internal governance, regulatory, employment and licensing matters.

An equally significant portion of our practice focuses on structuring, negotiating and memorializing private investment in emerging growth companies. Whether as company counsel or as investor counsel, since our founding in 2003 the lawyers at M&H have closed more than 250 venture capital financings, involving hundreds of millions of dollars.

We actively assist our clients in achieving liquidity, whether through an initial public offering or an acquisition. Acquisitions have taken many forms, ranging from relatively straightforward two party, domestic all cash asset acquisitions to complicated multiparty, international mergers.
