Our representation of executives and directors covers a number of areas. We work with executives when they join a company and advise them when they leave positions or make transitions. We guide boards of directors in drafting and negotiating employment, compensation, equity, indemnity, and other arrangements for executives. We represent directors in compensation and indemnification agreements and provide advice about potential conflicts and fiduciary duties as well as committees of boards considering transactions or actions. In merger and acquisition deals, we independently represent executives or key stockholders in their compensation, non-competition, and indemnification agreements with the acquirer.
